TERMS & CONDITIONS

These Terms and Conditions govern the provision of products and services by ATA International Holdings. By engaging with our services or placing an order, you acknowledge and agree to these terms. Specific terms may vary depending on contractual agreements or jurisdictional requirements.

 

PROCUREMENT TERMS & CONDITIONS

1. Quotation Validity

This quotation is valid for fourteen (14) calendar days from the date of issue. Upon receipt of order confirmation, prices and availability will be reaffirmed in writing. Prices are subject to change without prior notice unless otherwise agreed.

2. Quotation Basis

This quotation applies only to the goods specifically listed, subject to the conditions stated herein.

3. Exclusions

The quoted prices exclude: Shipping, Packaging, Delivery (domestic and international), Import duties and taxes, Customs clearance fees. These additional costs will be determined upon confirmed intent to proceed, if required

4. Payment Terms

100% prepayment is required to confirm the order. Failure to remit payment may result in cancellation or delay of the order.

5. Estimated Delivery & Stock Availability

Lead times are subject to stock availability and will be confirmed upon receipt of payment. Delivery timelines are estimates only and not binding.

Additionally, items that are no longer stocked or have become obsolete at the time of order fulfilment will be replaced with a suitable and comparable alternative, subject to availability and price.

6. Freight and Shipping Liability

ATA International Holdings is not liable for any freighting or logistical delays, regardless of cause.

7. Order Reference

Please quote the official Quotation Reference Number when placing an order or making any correspondence

8. Limitation of Liability (Consequential Loss)

ATA shall not be held liable for any loss, damage, injury, or death, howsoever caused. All implied warranties or representations, whether statutory or common law, are expressly excluded.

9. Exchange Rate Adjustment

Quoted amounts are based on the prevailing exchange rate at the time of quotation. If the exchange rate fluctuates by more than 5% at the time of invoicing, the final price will be adjusted accordingly, regardless of quotation validity.

10. Late Payment

A penalty fee of 2.5% per month will be charged on any late payments.

11. Taxes

The quoted fee is exclusive of applicable taxes (e.g., VAT, WHT). Taxes will be itemized and added to the final invoice, where applicable

12. Cancellation Policy

No cancellations are permitted once a quotation is accepted and payment is received, unless expressly agreed to in writing by ATA. In cases where cancellation is exceptionally permitted, it shall: Incur a minimum cancellation fee of up to 30% of the total order value; and require the client to reimburse all costs already incurred by ATA, including supplier charges, freight, import duties, administrative costs, and exchange rate losses

Non-cancellable and Non-refundable: Orders for imported, custom-manufactured, or specially procured equipment are strictly non-cancellable and non-refundable, unless ATA agrees otherwise in writing.

13. Force Majeure

ATA International Holdings shall not be held liable for any failure to perform, delay in performance, or partial performance of its obligations under this quotation or any resulting order, where such failure or delay is caused by circumstances beyond its reasonable control. These include, but are not limited to: natural disasters (e.g., floods, earthquakes, storms), acts of God, war, terrorism, civil unrest, labor disputes, epidemics or pandemics, government restrictions or embargoes, transport or logistics disruptions, supply chain failures, or currency exchange volatility. In such cases, ATA shall notify the client promptly and make reasonable efforts to resume performance. Delivery dates and timeframes shall be adjusted accordingly. If performance becomes permanently impracticable, either party may terminate the affected portion of the agreement without liability (other than for obligations accrued prior to the event)

TRAINING TERMS & CONDITIONS

1. Quotation Validity

This quotation is valid for thirty (14) calendar days from the date of issue.

2. Payment Terms

100% of the fee is payable upon application and issuance of an invoice. Training will not proceed until full payment is received.

3. Lead times

6-8 weeks from proof of payments

4. Exchange Rate Adjustment

Quoted fees are based on the exchange rate at the time of quotation. Should the exchange rate move by more than 5% at the time of invoicing, the fee may be adjusted accordingly, regardless of quotation validity.

5. Travel Delays

ATA is not liable for any travel or transit delays, including those affecting personnel or materials.

6. Cancellation Policy

No cancellations are permitted once a quotation has been accepted and payment received, unless expressly agreed to in writing by ATA. If cancellation is exceptionally permitted: A cancellation fee of up to 30% of the total training fee may apply; and the client must reimburse all costs incurred by ATA, including supplier charges, travel, logistics, administrative fees, and exchange rate losses.

7. Force Majeure

ATA International Holdings shall not be held liable for any delay, rescheduling, interruption, or failure to deliver training services due to events beyond its reasonable control. These include, but are not limited to: natural disasters, extreme weather, pandemics, outbreaks of disease, acts of terrorism or war, civil disturbances, government-imposed restrictions (e.g., visa denials, border closures), travel bans, instructor illness or unavailability due to emergencies, or disruptions to digital infrastructure. If such events occur, ATA will inform the client at the earliest opportunity and work to reschedule training at a mutually agreed future date. Any non-refundable costs incurred prior to the event may still be chargeable. If the event prevents fulfillment for an extended period (e.g., over 90 days), either party may terminate the agreement without further liability, except for costs already incurred.

STAFFING TERMS & CONDITIONS

1.Quotation Validity

Quotations are valid for (30) days only, quotation on the services named, subject to the conditions noted below and based on the contract.

2.Exclusions

All logistical arrangements including accommodation & meals for full rotation, staff rotation logistics from point of hire, telephonic access, internet access, radio access, registrations in country and Aeromedical Evacuations.

3.Payment Terms

30 days from the date of invoice / 100% Pre-payment required at the time of requesting the service.

TAXES: The quoted fee is exclusive of any applicable taxes (VAT, WHT etc.) that may apply. In such cases ATA-IH will itemize and add the figure to the final invoice.

3.Exchange Rate Adjustment

Please note that this amount was calculated at the prevailing exchange rate at the time of preparing the quotation. Any movement in the exchange rate of more than 5% at date of invoice will result in a change of the quoted price if applicable, regardless of the validity period referred to above.

ATA is not to be held liable for any travel delays whatsoever.

4.Late payment

Late payment will incur a 2,5 % monthly penalty fee.

5.Lead times

Lead times 6-8 weeks from proof of payment.

Equipment must be on site before we deploy our staff.

6.Errors and Omissions Excepted (E&OE)

It is important to note that these Terms and Conditions are contractually based.
